Services means the computer systems design, network architecture, cloud infrastructure, cybersecurity, data engineering, and IT consulting services offered by Du Virtue. The Du Virtue name, the 南京督配德 mark, the www.duvirtue.buzz domain, and all related names, logos, and service marks are trademarks of Du Virtue. You must not use such marks without our prior written permission.

4.2 License to Use Website

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for your personal or internal business purposes. 5. Services Engagement

Engagement of our computer systems design and consulting Services is governed by separate written agreements, including but not limited to Master Services Agreements, Statements of Work, and Non-Disclosure Agreements executed between Du Virtue and the client. Any description of Services on this Website is for informational purposes only and does not constitute a binding offer. All Service engagements are subject to our standard client intake process, mutual agreement on scope and fees, and execution of a formal services contract.

6. User Submissions

When you submit information through our contact form or via email to office@duvirtue.buzz, you represent that: you own or have the necessary rights to all information you submit; the information is accurate and not misleading; and submission of the information does not violate any third-party rights or applicable laws. You grant us a non-exclusive, royalty-free license to use, store, and process submitted information for the purpose of responding to your inquiry, providing Services, and as described in our Privacy Policy. We are not obligated to treat unsolicited business proposals, system designs, or technical suggestions as confidential unless we have separately agreed to do so in writing.

You agree to defend, indemnify, and hold harmless Du Virtue, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys fees) arising from or related to: your violation of these Terms; your use of the Website, including any Content you submit; your violation of any third-party right, including intellectual property or privacy rights; or your violation of any applicable law. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate fully with us in asserting any available defenses.

10. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict-of-law principles. Any controversy, claim, or dispute arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall first be attempted to be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to the competent courts of Nanjing, Jiangsu Province, PRC, which shall have exclusive jurisdiction.

11. Termination

We may terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. All provisions of these Terms which by their nature should survive termination shall survive termination, including but not limited to: intellectual property provisions, warranty disclaimers, limitations of liability, indemnification, and governing law. Upon termination, your right to use the Website shall cease immediately.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Du Virtue regarding your use of the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Website.

12.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to reflect the parties original intention as closely as possible while remaining enforceable, and the remaining provisions shall continue in full force and effect.

12.3 Waiver

No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Du Virtue to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign or transfer these Terms in whole or in part without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
